Affiliate Program Terms

These Affiliate Program Terms ("Terms") govern your participation in the Thentic Pay Affiliate Program ("Program") operated by Thentic Pay ("Thentic", "we", "us", or "our"), a non-custodial crypto payment infrastructure provider based in Berlin, Germany.

By applying to, being accepted into, or participating in the Program in any way, you ("Affiliate", "you", or "your") agree to be bound by these Terms in full. If you do not agree, you may not participate in the Program.

These Terms supplement and incorporate by reference the Thentic Pay Terms of Service and Privacy Policy. In the event of a conflict between these Terms and the general Terms of Service, these Affiliate Program Terms prevail with respect to the Program.

• AffiliateAn individual or entity approved by Thentic Pay to participate in the Program and earn commissions for qualifying referrals.
• Affiliate LinkThe unique tracking URL assigned to each Affiliate upon approval, used to attribute referred merchants to the Affiliate's account.
• Referred MerchantA business or individual who signs up for a Thentic Pay merchant account through an Affiliate's unique link and completes a qualifying action.
• Qualifying ReferralA Referred Merchant who (a) was not previously a Thentic Pay customer, (b) signed up via the Affiliate's unique link, (c) completed account verification, and (d) processed at least one live transaction through Thentic Pay.
• CommissionThe recurring percentage of processing fees earned by the Affiliate for each Qualifying Referral, as set out in Section 05.
• Processing FeesThe transaction fees charged by Thentic Pay to a Referred Merchant on crypto payments processed through the Thentic Pay platform, currently 1% per transaction.
• DashboardThe affiliate portal or tracking interface (if provided) where Affiliates can view referral activity, commission balances, and payout history.
• Minimum Payout ThresholdThe minimum commission balance required before a payout is triggered, as specified in Section 06.

To be eligible for the Program, you must meet all of the following requirements at the time of application and throughout your participation:

• You are at least 18 years of age (or the age of majority in your jurisdiction, if higher).
• You have a valid business or personal presence through which you can promote Thentic Pay (e.g. a website, blog, social media account, newsletter, or professional network).
• You are not a current employee, contractor, director, or officer of Thentic Pay or any of its affiliates.
• You are not located in, and will not direct promotional activities at residents of, any country subject to comprehensive sanctions administered by OFAC, the EU, or the UN.
• You have the legal capacity to enter into binding contracts in your jurisdiction.
• You agree to provide accurate, complete, and up-to-date information during registration and throughout the Program.

Thentic Pay reserves the right to approve or reject any application at its sole discretion, without obligation to provide a reason. Approval of an application does not constitute a guarantee of continued participation.

Application & Approval

You apply via the affiliate application form on the Thentic Pay website. Upon approval, you will receive a unique Affiliate Link and access to any available tracking tools. Approval is typically communicated by email within a reasonable timeframe.

Referring Merchants

Share your Affiliate Link with potential merchants through your own channels. When a prospective merchant clicks your link and signs up for a Thentic Pay account, the referral is attributed to you. Attribution is valid for 90 days from the first click of your Affiliate Link (cookie window), provided the merchant completes sign-up within that window.

Qualifying Referrals

A referral becomes a Qualifying Referral once the referred merchant has completed identity verification (if applicable) and has processed at least one live payment transaction through Thentic Pay. Referrals that do not result in active processing do not generate commissions.

Earning Commissions

Once a Qualifying Referral is confirmed, you begin earning a recurring commission on all processing fees generated by that merchant. Commissions continue for as long as the merchant remains active on the platform and you remain a participant in good standing.

Standard Commission Rate

Affiliates earn 35% of processing fees generated by each Qualifying Referral. Processing fees are currently set at 1% per transaction processed through the Thentic Pay platform. Commissions are calculated on the net processing fee received by Thentic Pay, excluding any blockchain network fees, gas costs, or third-party charges passed through to the merchant.

Commission Duration

Commissions are recurring — you earn on a Referred Merchant's activity for as long as:

• The Referred Merchant maintains an active Thentic Pay account and continues to process payments.
• Your Affiliate account remains in good standing and has not been suspended or terminated.
• The Program itself remains active and these Terms remain in effect.

No Commission Stacking

Only one Affiliate may earn commissions per Referred Merchant. In the event of a disputed attribution, Thentic Pay will make a final determination at its sole discretion, taking into account the first valid click attribution.

Rate Changes

Thentic Pay reserves the right to modify the commission rate or processing fee at any time. Changes will be communicated in accordance with Section 12 and will apply to commissions earned after the effective date of the change.

Payout Currency

Commissions are denominated in EUR (€) by default. Payouts may also be made in a supported cryptocurrency at Thentic Pay's discretion or upon mutual agreement. Exchange rates, if applicable, will be calculated at the prevailing market rate at the time of payout.

Payout Schedule

Commissions are calculated on a monthly basis, based on the processing fees generated by your Referred Merchants during the preceding calendar month. Payouts are processed within 30 days of the end of each monthly period, subject to the minimum payout threshold being met.

Minimum Payout Threshold

Payouts are triggered once your accrued commission balance reaches a minimum of €50. If your balance does not reach this threshold in a given month, commissions roll over to the following month and continue to accumulate until the threshold is met.

Payment Method

Thentic Pay will pay commissions via bank transfer (SEPA), or another method agreed in writing. You are responsible for providing and maintaining accurate payment details. Thentic Pay is not liable for failed or delayed payments resulting from incorrect information provided by you.

Taxes

You are solely responsible for determining and fulfilling any applicable tax obligations arising from commissions received under the Program. Thentic Pay may request tax information (such as a VAT number or tax residence declaration) and may withhold payouts until such information is provided if required by applicable law.

Referrals are tracked using a unique Affiliate Link assigned to your account. Attribution relies on standard cookie-based or link-based tracking technology. You acknowledge that:

• Tracking may be affected by users clearing cookies, using private/incognito browsing, employing ad blockers, or navigating to Thentic Pay directly after an initial click. Thentic Pay is not responsible for lost attribution in these cases.
• You must use only your assigned Affiliate Link for referrals. Using modified, spoofed, or unauthorised links will result in immediate termination.
• Thentic Pay's tracking records are the sole authoritative source for commission calculations. In the event of any discrepancy, Thentic Pay's data prevails.
• You may not artificially inflate clicks, impressions, or referrals through automated means, bots, or any other deceptive method.

If you believe there is an error in your tracked referrals or commission balance, you must notify us at eb@thentic.tech within 30 days of the relevant commission period. Disputes raised after this period may not be honoured.

By participating in the Program, you agree to:

• Accurate representation: Promote Thentic Pay honestly and accurately. Do not make false, misleading, or exaggerated claims about Thentic Pay's products, features, pricing, or performance.
• Compliance with laws: Ensure that all promotional activities comply with applicable laws and regulations, including but not limited to advertising standards, data protection laws (GDPR), and anti-spam regulations (e.g. CAN-SPAM, CASL).
• Disclosure: Clearly disclose your affiliate relationship with Thentic Pay in all promotional content, in accordance with applicable consumer protection and advertising regulations (e.g. EU Directive on Unfair Commercial Practices, FTC guidelines).
• Brand guidelines: Use only approved Thentic Pay branding, logos, and marketing materials. Contact us if you need approved assets. Do not alter, distort, or misuse Thentic Pay's trademarks or brand.
• No spam: Do not engage in unsolicited bulk email, spam, or any form of intrusive or deceptive outreach.
• Account security: Keep your affiliate credentials secure and notify us immediately of any unauthorised access to your account.
• Up-to-date information: Maintain accurate contact and payment details in your affiliate account at all times.

The following activities are strictly prohibited and will result in immediate suspension or termination of your Affiliate account, forfeiture of all accrued commissions, and may result in legal action:

• Self-referrals or referring entities under your direct or indirect control to earn commissions.
• Cookie stuffing, click fraud, fake sign-ups, or any manipulation of tracking or attribution systems.
• Bidding on Thentic Pay branded keywords (e.g. "Thentic Pay", "Thentic") in paid search advertising without prior written approval.
• Creating websites, domains, or social media profiles that could be confused with official Thentic Pay channels.
• Promoting Thentic Pay through spam, unsolicited messages, or any channel or method that violates applicable laws or platform terms of service.
• Making claims that Thentic Pay guarantees specific returns, profits, or financial outcomes for merchants.
• Promoting Thentic Pay on platforms, forums, or communities dedicated to illegal activity, scams, or financial fraud.
• Using incentives, rewards, or payments to encourage sign-ups without disclosing this to potential merchants.
• Any activity that violates OFAC, EU, or UN sanctions regulations, or that facilitates financial crime, money laundering, or fraud.

Thentic Pay reserves the right to determine, at its sole discretion, whether any activity constitutes a prohibited activity under these Terms.

Termination by You

You may withdraw from the Program at any time by sending written notice to eb@thentic.tech. Commissions accrued up to the date of termination will be paid out within 60 days, provided they meet the minimum payout threshold.

Termination by Thentic Pay

Thentic Pay may suspend or terminate your participation in the Program at any time, with or without cause, including but not limited to:

• Breach of any provision of these Terms.
• Engagement in any prohibited activity as defined in Section 09.
• Providing false or misleading information during registration or participation.
• Inactivity — no new qualified referrals generated within any consecutive 12-month period.
• A decision to discontinue the Program in whole or in part.

Effect of Termination

Upon termination, your Affiliate Link will be deactivated, and you will no longer earn commissions on any merchant activity, including existing Referred Merchants. Termination for cause results in immediate forfeiture of all unpaid commissions.

No Guarantee of Earnings

Thentic Pay makes no representation or warranty that you will earn any specific amount through the Program. Commission earnings depend entirely on the volume of qualifying referrals you generate and the transaction activity of Referred Merchants, which are beyond Thentic Pay's control.

Limitation of Liability

To the maximum extent permitted by applicable law, Thentic Pay's aggregate liability to you in connection with the Program shall not exceed the total commissions paid to you in the three (3) months preceding the event giving rise to the claim. Thentic Pay is not liable for any indirect, incidental, consequential, or punitive damages arising from or related to the Program.

Indemnification

You agree to indemnify, defend, and hold harmless Thentic Pay and its directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your participation in the Program, your promotional activities, or your breach of these Terms.

Platform Changes

Thentic Pay may modify, update, or discontinue any aspect of its products or services at any time. Such changes may affect the commissions you earn. Thentic Pay is not liable for any reduction in commissions resulting from legitimate changes to its platform or pricing.

Independent Contractor

Your relationship with Thentic Pay is that of an independent contractor. Nothing in these Terms creates any partnership, joint venture, agency, employment, or franchise relationship between you and Thentic Pay. You have no authority to bind Thentic Pay to any obligation.

Thentic Pay reserves the right to modify these Terms, the commission structure, payout thresholds, or any other aspect of the Program at any time. Material changes will be communicated via email to the address registered with your Affiliate account or by posting a notice on the Thentic Pay website, with at least 14 days' notice before the change takes effect.

Your continued participation in the Program after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must notify us and withdraw from the Program before the effective date.

Changes to commission rates will not apply retroactively to commissions already earned in a completed monthly period.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any dispute arising from or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms constitute the entire agreement between you and Thentic Pay with respect to the Affiliate Program and supersede all prior or contemporaneous agreements, representations, or understandings relating to the Program.
